Legal Disclaimer & Limitations of Service

RapidPro Immigration Solutions LLC

1. Nature and Status of the Company

RapidPro Immigration Solutions LLC ("Company," "we," "us," or "our") is a business-to-business administrative and legal support services firm. We provide paralegal-level document preparation, case file management, data entry, and administrative support services exclusively to licensed attorneys, accredited representatives, and law firms ("Client Firms").

The Company is not a law firm. We do not employ attorneys licensed to practice law in California or any other jurisdiction. We do not practice law, and no aspect of our services constitutes the practice of law.

All services rendered by RapidPro are performed under the direct supervision, instruction, and professional responsibility of the contracting attorney or law firm. The attorney or law firm retains full professional and ethical responsibility for all case strategy, legal advice, client representation, and outcomes.


2. Scope of Services — What We Do

RapidPro provides non-legal, administrative support services to attorneys and law firms. Services are performed strictly as directed by the contracting firm and may include:

  • Preparation and organization of immigration forms and case packets based on information and instructions provided by the attorney
  • Case file organization, document sorting, and digital file management
  • Data entry into case management systems designated by the firm
  • Document formatting and assembly for attorney review and submission
  • Preparation of cover letters and transmittal correspondence as directed
  • Administrative coordination of case workflows as assigned by the firm
  • Tracking and calendaring of filing deadlines per firm instruction
  • Clerical support for USCIS, EOIR, NVC, DOS, and DOJ-related matters
  • Document retrieval and organization support

All work product is delivered to the contracting attorney or firm for review, approval, and submission. RapidPro does not file documents independently unless expressly authorized in writing by the supervising attorney.


3. What We Do Not Provide

The following are explicitly outside the scope of our services and will not be performed under any circumstances:

  • Legal advice, legal opinions, or legal interpretation of immigration law or any other law
  • Legal representation of any client before USCIS, EOIR, immigration courts, the Board of Immigration Appeals, federal courts, or any other tribunal or agency
  • Assessment of the legal merits of any case or application
  • Recommendations regarding visa categories, immigration strategies, or legal relief
  • Independent contact with or advice to end-clients on legal matters
  • Removal defense, deportation hearing support, or any litigation services
  • Analysis of criminal history, legal risk, or legal eligibility
  • Any service that constitutes the unauthorized practice of law (UPL) under California Business and Professions Code § 6125 or the laws of any other jurisdiction

Any use of our services in a manner intended to circumvent the supervising attorney's professional responsibility is strictly prohibited and will result in immediate termination of services.


4. Attorney Supervision and Professional Responsibility

RapidPro operates as a support vendor under attorney supervision. The contracting attorney or law firm:

  • Retains full and sole responsibility for all legal advice provided to end-clients
  • Is responsible for reviewing all work product prior to submission or use
  • Is responsible for determining the legal strategy, filing decisions, and client communications
  • Bears professional and ethical responsibility under applicable Rules of Professional Conduct for all work performed in connection with their client matters
  • Is solely responsible for ensuring that any work delegated to RapidPro complies with bar rules governing non-attorney assistance and supervision

RapidPro's role is ministerial and administrative in nature. Nothing in our service relationship creates a legal, fiduciary, or professional responsibility on our part toward the end-client.


5. No Attorney-Client Relationship

No attorney-client relationship is created between RapidPro Immigration Solutions LLC and any end-client served by a contracting law firm. We are not a party to any attorney-client relationship.

  • We do not owe duties of loyalty, confidentiality, or care directly to end-clients as a matter of professional ethics
  • Our confidentiality obligations with respect to end-client data are governed by our service agreement and Privacy Policy with the contracting firm
  • End-clients should direct all legal questions and communications to their retained attorney or law firm

6. No Direct Client Contact

RapidPro will not contact, solicit, advise, or communicate with the end-clients of any contracting law firm under any circumstances, except upon explicit prior written authorization from the supervising attorney.

Any written authorization to contact an end-client must specify:

  • The identity of the client
  • The purpose and scope of permitted contact
  • The authorized method and time frame of communication

Unauthorized contact with end-clients is a material breach of our service agreement and this Disclaimer. This restriction survives the termination of the service relationship.


7. Limitation of Liability

Company Liability

RapidPro Immigration Solutions LLC's liability to any Client Firm is strictly limited as follows:

We are not liable for:

  • Denials, delays, or adverse decisions issued by USCIS, EOIR, NVC, DOS, or any other government agency
  • Changes in immigration law, agency policy, or government processing priorities occurring after work is completed
  • Outcomes resulting from inaccurate, incomplete, or misleading information provided by the Client Firm or end-client
  • Work product not reviewed or approved by the supervising attorney prior to submission
  • Legal errors arising from attorney strategy decisions, filing choices, or legal interpretations
  • Any consequence resulting from the Client Firm's failure to provide timely instructions, corrections, or approvals

Aggregate Liability Cap:Our total aggregate liability for any claim arising from services rendered shall not exceed the total fees paid by the Client Firm in the twelve (12) months immediately preceding the incident giving rise to the claim.


Exclusion of Consequential Damages:Under no circumstances shall RapidPro be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to:

  • Lost revenue, lost business opportunities, or loss of clients
  • Reputational harm to the law firm
  • Bar discipline proceedings or professional sanctions
  • Emotional distress or non-economic damages
  • Damages arising from government agency actions

Client Firm Liability

Client Firms assume full liability for:

  • All legal advice, case strategy, and professional decisions made in connection with their client matters
  • The accuracy and completeness of all information and instructions provided to RapidPro
  • Review and approval of all work product prior to use or submission
  • Compliance with all applicable rules of professional conduct governing supervision of non-attorney staff
  • Any harm to end-clients resulting from the firm's independent legal decisions

8. Indemnification

RapidPro's Indemnification of Client Firms

RapidPro agrees to indemnify, defend, and hold harmless the contracting attorney and law firm from and against any claims, damages, losses, and reasonable attorney fees arising directly from:

  • Our unauthorized disclosure of confidential case data or end-client information
  • Our breach of the No Direct Client Contact Policy
  • Our willful misconduct or gross negligence in the performance of services
  • Violations of this Disclaimer or our Privacy Policy by our personnel or contractors

Client Firm's Indemnification of RapidPro Immigration Solutions LLC

The contracting attorney or law firm agrees to indemnify, defend, and hold harmless RapidPro Immigration Solutions LLC, its officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorney fees, arising out of or related to:

  • Inaccurate, incomplete, false, or misleading information or instructions provided to RapidPro
  • The Client Firm's independent legal decisions, strategy, and representation of end-clients
  • The Client Firm's failure to review, correct, or approve work product prior to submission
  • Any bar complaint, disciplinary action, or malpractice claim arising from the firm's legal services
  • The firm's failure to comply with applicable rules governing supervision of non-attorney staff
  • Any claim by an end-client arising from the attorney-client relationship itself
  • Any regulatory, legal, or administrative action arising from end-client immigration outcomes

9. No Guarantee of Outcome

RapidPro makes no guarantees, warranties, or representations regarding the outcome of any immigration application, petition, or proceeding. Immigration outcomes are determined solely by USCIS, EOIR, the Department of State, and other government authorities based on the individual merits of each case, applicable law, and agency discretion — all of which are entirely outside our control.

Factors affecting case outcomes include but are not limited to:

  • Facts and circumstances of the individual case
  • Changes in immigration law, regulations, or agency policy
  • USCIS and EOIR operational priorities and processing times
  • Government adjudicator discretion
  • Visa number availability
  • Administrative and security processing requirements

10. Document Ownership and Handling

All original documents transmitted to RapidPro by the contracting firm remain the property of the law firm and its end-clients. Upon completion of services or upon written request:

  • All original documents will be returned or securely transmitted to the contracting firm
  • Digital files will be deleted or archived per the firm's written instructions
  • RapidPro retains no independent copies beyond contractual or legal retention requirements

The contracting firm is responsible for maintaining its own complete records of all case files.


11. Fee and Payment Terms

  • All fees are governed by the applicable service agreement between RapidPro and the contracting firm
  • Services are rendered on a project or retainer basis as agreed in writing
  • Payment terms are specified in the executed service agreement
  • Fees for completed work are non-refundable once services have been rendered
  • RapidPro reserves the right to suspend services for non-payment, with written notice to the firm

12. Confidentiality and Data Security

All case files, client data, communications, and work product received from Client Firms are treated as strictly confidential. Our full confidentiality and data security commitments are detailed in our Privacy Policy, which is incorporated into this Disclaimer by reference.

Key commitments include:

  • All personnel execute binding written confidentiality and non-disclosure agreements
  • Case data is compartmentalized by firm and by matter
  • Encrypted transmission and storage of all sensitive information
  • No disclosure of case data to any unauthorized third party under any circumstances
  • Confidentiality obligations survive the termination of the service relationship

13. Governing Law and Jurisdiction

This Disclaimer and all service relationships governed by it are subject to the laws of the State of California, without regard to conflict-of-law principles. Any legal action or dispute shall be resolved exclusively in the federal or state courts of Los Angeles County, California.


14. Severability

If any provision of this Disclaimer is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect.


15. Acceptance of Terms

By engaging the services of RapidPro Immigration Solutions LLC, the contracting attorney or law firm acknowledges and agrees that:

  • They have read, understood, and agree to the terms set forth in this Legal Disclaimer
  • They understand that RapidPro is not a law firm and does not provide legal advice or representation
  • They accept sole professional and legal responsibility for all case strategy and client representation
  • They will review all work product prior to use or submission
  • They accept the liability limitations and indemnification obligations described herein
  • They agree that this Disclaimer, together with the executed service agreement and Privacy Policy, constitutes the complete agreement governing the service relationship

NOTICE TO CONTRACTING FIRMS: RapidPro Immigration Solutions LLC is a non-attorney administrative support vendor. All work is performed under attorney supervision and direction. The contracting attorney or law firm retains sole professional responsibility for all legal services rendered to end-clients. Nothing in this agreement alters or diminishes the attorney's ethical obligations under applicable Rules of Professional Conduct.
